This Terms of Use Agreement is a legally binding agreement between you (“User” or “you”) and History Moms LLC (“Company,” “we,” or “us”) governing your use of the US History course (“Course”) provided by the History Moms. By accessing or using the Course, you agree to be bound by the terms and conditions of this Agreement. If you do not agree to these terms and conditions, you must not access or use the Course.
1. Course Access and License
a. Access: History Moms grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Course solely for your personal, non-commercial use.
b. Restrictions: You may not sublicense, sell, resell, transfer, assign, distribute, or otherwise commercially exploit or make the Course available to any third party.
2. Intellectual Property Rights
a. Ownership: The Course, including all content, materials, and intellectual property rights therein, are owned by History Moms or its licensors and are protected by copyright, trademark, and other intellectual property laws.
b. License Grant: Subject to your compliance with this Agreement, History Moms grants you a limited, non-exclusive, non-transferable license to access and view the Course content solely for your personal, non-commercial use.
3. User Conduct
a. Prohibited Activities: You agree not to use the Course for any unlawful purpose or in any way that violates this Agreement. You further agree not to:
i. Interfere with or disrupt the Course or servers or networks connected to the Course.
ii. Use any data mining, robots, or similar data gathering or extraction methods.
iii. Attempt to gain unauthorized access to any portion of the Course or any other systems or networks connected to the Course.
b. Compliance with Laws: You agree to comply with all applicable laws, rules, and regulations in connection with your use of the Course.
4. Privacy
a. Collection of Information: History Moms may collect and use information about your use of the Course as described in the Privacy Policy.
b. Privacy Policy: By using the Course, you consent to the collection and use of information as described in History Mom’s Privacy Policy.
5. Disclaimer of Warranties
THE COURSE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING THE WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
6. Limitation of Liability
IN NO EVENT SHALL THE COMPANY OR ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE COURSE.
7. Indemnification
You agree to indemnify, defend, and hold harmless History Moms and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or in connection with your use of the Course or your violation of this Agreement.
8. Modifications to the Agreement
History Moms reserves the right to modify or amend this Agreement at any time. Any changes to this Agreement will be effective immediately upon posting the revised Agreement on the Course. Your continued use of the Course after the posting of the revised Agreement constitutes your acceptance of the changes.
9. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law principles. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in the United States of America, Utah.
10. Entire Agreement
This Agreement constitutes the entire agreement between you and History Moms regarding your use of the Course and supersedes all prior and contemporaneous agreements, representations, and understandings, whether oral or written.
By accessing or using the Course, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree to these terms and conditions, you must not access or use the Course.
